Schlatter frequently advises domestic and international clients on company acquisitions and restructuring. Schlatter's clients in this field include small businesses, freelancers, small and medium-sized companies. The M&A practice group, which was set up in 2009 when Schlatter was joined by Prof. Dr. Jens Kollmar, addresses issues ranging from share and asset deals, MBOs and MBIs to (cross-border) company purchases and sales in the forms of mergers, spin-offs, share swaps and agreements on divesting shareholders and acquisition of shareholdings.
The M&A practice group benefits from Schlatter's one-stop-shop strategy in that complex transactions can be planned and implemented using in-house expertise with a team consisting of specialists most suited to the specific mandate. This means that corporate transactions will be handled by a team of experts from all the relevant legal disciplines (corporate and commerce, tax, employment, IP, unfair competition, real estate, environment, etc.).
The long-standing collaboration between Schlatter and the WSB companies, with whom we share premises in Mannheim and Heidelberg, means that we can also offer more than purely legal and tax advice (such as business consultancy, financial due diligence, inventory monitoring, audits, business plans, etc.).
In the case of cross-border transactions we have an excellent network of advisers in other jurisdictions such as the USA, England, Switzerland, Singapore and other countries.
The M&A practice group can therefore look after the client's interests from the very first stage (confidentiality agreement, letter of intent, tax structuring, due diligence, etc.) right through to the end of the transaction (e.g. purchase agreement or change-of-legal-status documents) and the team is headed by a partner who will always be the client's first point of contact for queries and questions.
